 2.⁠ ⁠BUSINESS MODEL STRUCTURE


SwiftGo operates under two systems:


A. Company Owned Assets


•⁠  ⁠Company cars used for transportation

•⁠  ⁠Company motorbikes used for delivery


B. Third Party Assets


•⁠  ⁠Drivers using their own cars

•⁠  ⁠Riders using their own motorbikes


 3.⁠ ⁠LEGAL STATUS


SwiftGo:


•⁠  ⁠Operates strictly as a technology intermediary

•⁠  ⁠Does NOT automatically employ drivers or riders

•⁠  ⁠Engages service providers as independent contractors, except where otherwise stated


 4.⁠ ⁠PLATFORM TERMS OF USE


All users agree to:


•⁠  ⁠Use the platform lawfully

•⁠  ⁠Provide accurate information

•⁠  ⁠Comply with all Ghanaian laws


SwiftGo reserves the right to:


•⁠  ⁠Suspend or terminate accounts

•⁠  ⁠Modify services and pricing

•⁠  ⁠Report unlawful activities



 5.⁠ ⁠DRIVER & RIDER CLASSIFICATION


Drivers and riders shall be categorized as:


 1.⁠ ⁠Company Asset Operators


•⁠  ⁠Use SwiftGo vehicles or motorbikes

•⁠  ⁠Operate under stricter control policies


 2.⁠ ⁠Independent Operators


•⁠  ⁠Use their own vehicles or motorbikes

•⁠  ⁠Bear full responsibility for their assets



 6.⁠ ⁠COMPANY PROPERTY POLICY


All SwiftGo assets including:


•⁠  ⁠Cars

•⁠  ⁠Motorbikes

•⁠  ⁠Helmets

•⁠  ⁠Delivery boxes

•⁠  ⁠Trackers

•⁠  ⁠Uniforms


remain the exclusive property of SwiftGo.


Operators must:


•⁠  ⁠Use assets only for SwiftGo operations

•⁠  ⁠Return assets upon request

•⁠  ⁠Avoid misuse or unauthorized use



 7.⁠ ⁠PAYMENT & COMMISSION STRUCTURE


•⁠  ⁠SwiftGo charges commission per trip/delivery

•⁠  ⁠Payments are processed via platform

•⁠  ⁠SwiftGo may:

    * Withhold payments during disputes

    * Deduct costs for damages or penalties



 8.⁠ ⁠DRIVER & RIDER CONDUCT POLICY


Operators SHALL NOT:


•⁠  ⁠Engage in fraud

•⁠  ⁠Manipulate fares

•⁠  ⁠Conduct offline transactions

•⁠  ⁠Harass or harm customers


Violation results in suspension or termination.



 9.⁠ ⁠DELIVERY POLICY


Allowed:


•⁠  ⁠Food

•⁠  ⁠Parcels

•⁠  ⁠Retail goods


Prohibited:


•⁠  ⁠Drugs

•⁠  ⁠Weapons

•⁠  ⁠Illegal items


SwiftGo reserves the right to report violations.



10.⁠ ⁠SAFETY & SECURITY POLICY


SwiftGo may:


•⁠  ⁠Track all trips via GPS

•⁠  ⁠Monitor communications

•⁠  ⁠Share data with law enforcement


Zero tolerance for:


•⁠  ⁠Violence

•⁠  ⁠Theft

•⁠  ⁠Harassment



11.⁠ ⁠LIABILITY & RISK ALLOCATION


Company-Owned Assets


Operators may be held liable for:


•⁠  ⁠Damage

•⁠  ⁠Negligence

•⁠  ⁠Misuse


Independent Operators


Operators bear full responsibility for:


•⁠  ⁠Vehicles

•⁠  ⁠Accidents

•⁠  ⁠Insurance

•⁠  ⁠Maintenance


SwiftGo is not liable for:


•⁠  ⁠Third-party damages

•⁠  ⁠Driver/rider misconduct

•⁠  ⁠Loss of goods



12.⁠ ⁠INDEMNITY


All users agree to indemnify SwiftGo against:


•⁠  ⁠Claims

•⁠  ⁠Losses

•⁠  ⁠Legal actions



13.⁠ ⁠DATA PROTECTION


SwiftGo complies with

Data Protection Act, 2012


Users consent to:


•⁠  ⁠GPS tracking

•⁠  ⁠Data storage

•⁠  ⁠Monitoring



14.⁠ ⁠FRAUD & ABUSE POLICY


Strict penalties for:


•⁠  ⁠Fake trips

•⁠  ⁠Fake deliveries

•⁠  ⁠Payment manipulation

•⁠  ⁠Account abuse



15.⁠ ⁠ACCOUNT SUSPENSION


SwiftGo may:


•⁠  ⁠Suspend

•⁠  ⁠Restrict

•⁠  ⁠Terminate accounts


without prior notice where necessary.



16.⁠ ⁠DISPUTE RESOLUTION


Disputes shall follow:

 2.⁠ ⁠Mediation

 3.⁠ ⁠Arbitration



17.⁠ ⁠GOVERNING LAW


This framework is governed by the laws of Ghana.



18.⁠ ⁠FORCE MAJEURE


SwiftGo is not liable for:


•⁠  ⁠Natural disasters

•⁠  ⁠Government restrictions

•⁠  ⁠System failures



19.⁠ ⁠CONFIDENTIALITY


All operators must not disclose:


•⁠  ⁠Company data

•⁠  ⁠Customer information

•⁠  ⁠Pricing systems


20.⁠ ⁠FINAL PROVISION


This Legal and Operational Framework shall serve as the official foundation for the operations, policies, agreements and platform rules of SwiftGo Mobility Technology Ltd.


By registering, accessing, using or operating on the SwiftGo platform, every customer, driver, rider, merchant, partner and service provider agrees to be bound by this framework, together with any separate agreement, policy, notice or guideline issued by SwiftGo.


SwiftGo reserves the right to amend, update, expand or replace any part of this framework where necessary for legal compliance, operational efficiency, safety, security, technology improvement or business growth.


Where any provision of this framework is found to be invalid, unlawful or unenforceable, the remaining provisions shall continue to remain valid and enforceable.


This framework does not limit SwiftGo’s right to introduce additional agreements, including driver agreements, rider agreements, merchant agreements, fleet management agreements, customer terms, privacy policies and internal operational policies.


All parties dealing with SwiftGo shall act in good faith, comply with applicable Ghanaian laws and respect the policies, assets, brand, customers, operators and digital systems of the company.


This framework shall take effect from the date approved and adopted by SwiftGo Mobility Technology Ltd. and shall remain in force until amended, replaced or withdrawn by the company.
